Tax planning including reviewing the tax aspects of a proposed transaction & making recommendations on structuring for tax advantages, review and interpretation of tax legislation and representation of clients before the tax board and other tax authories.
Advise on Bills being initiated by governments and their agencies, Advise federal and state governments ‘agencies and investment companies on the legal structure and procedure to be adopted in effecting the raising of funds to carry out capital expenditure. This includes amongst others rendering advise on PPP Projects, Bonds and preparation and review of documents related thereto.
Rendering advice on business formation and operations, incorporation of companies, non-governmental organisations, incorporated trustees etc. General legal opinions on corporate matters, doing business in Nigeria, Winding up, Company law advise, Regulatory advisory on Corporate matters etc. Contract reviews and contract documentation.
Provision of advice on matters bordering on Nigerian labour, employment and pensions law; representation of clients at Labour Negotiations; draft and review of employment contracts.
Conducting due compliance on behalf of the clients, all statutory and regulatory requirements and advise on all legal aspects thereof. This include but not limited to ensuring that all filings with regulatory bodies are done as at when due, assisting in updating the client’s corporate records at regulatory authorities relevant to the client’s business, obtaining required permits and ensuring compliance and due conformity with Statutory provisions and prevailing Government policy; proffering advise on all legal issues that may arise in connection with the client’s business; Review of regulations and bringing same to our clients attention and Liaising where necessary with all regulatory authorities and agencies on behalf of our client.
Legal due diligence, advise on the legal procedure for effecting the transaction and assure compliance with all relevant laws and regulations in Nigeria (and where it is an offshore related transaction, assure confirmation of due compliance with regulations of the offshore Company’s jurisdictional domicile), assisting Clients in developing and reviewing existing market strategies that protect their interests whilst taking into account the objectives of the Competition Law; review all shareholder agreements, joint ventures and cooperation agreements to ensure that they are not contrary to Antitrust Laws/Regulations, review existing contracts and merger/acquisition agreements to ensure that clients do not flout antitrust laws and advise clients routinely on various provisions in the Antitrust Laws/ Regulations that affect their operations in Nigeria.
Rendering advice on compliance with statutory requirements and Regulations stemming from the Immigration Act (“The Act”) and other related Laws and regulations; Procurement on behalf of clients’ of the requisite Immigration facilities such as Permits, Quotas, Visas, etc required for their operations in Nigeria. Represent clients at administrative inquiries and make representations on behalf of clients with respect to quota management, Maintain a good working relationship with the office of the Comptroller General of Immigration Service and other relevant regulatory agencies, in a bid to ensuring that our clients’ interests are protected at all times.
